Acceptance of terms

These Terms of Service (“Terms”) are a binding agreement between you and Data Partnerships, LLC, a Florida limited liability company (“Data Partnerships,” “we,” “us”). By visiting datapartnerships.com, booking a consultation, creating an account on app.datapartnerships.com (the “Portal”), joining our affiliate program, or otherwise using our services (together, the “Services”), you agree to these Terms and our Privacy Policy. If you use the Services for a company, you confirm you have authority to bind it. If you do not agree, do not use the Services.

Eligibility

The Services are for businesses and professionals. You must be at least 18 years old and able to form a binding contract. We may decline or end service to anyone at our discretion, subject to any signed agreement.

Accounts and the Portal

The Portal gives clients and partners access to engagement status, documents, referrals, and payouts. You must give accurate information, keep your credentials confidential, and tell us promptly of any unauthorised use. You are responsible for activity under your account. We may suspend accounts that appear compromised or that violate these Terms.

Our services

Consultation and data review

We offer a complimentary consultation (“data review”) to evaluate whether a business holds records suitable for licensing. A consultation is not a promise that your records are licensable or that any sale will occur.

Data-licensing facilitation

We help business owners prepare de-identified copies of business records and license them to vetted data buyers. We act as a marketplace and facilitator. We do not guarantee the existence of any buyer, any price, or any amount of revenue. Any estimates, ranges, or case studies on our site or in conversations are illustrative, depend on the data and market, and are not guarantees of results.

Affiliate program

Partners may refer businesses to us and earn commissions, subject to the Affiliate Program Terms below.

Client responsibilities and representations

If you are a client, you represent and warrant that:

  • you own, or have all rights, consents, and authority needed to license, the records you provide or make available, and doing so does not breach any law, contract, or third-party right;
  • you will not provide protected health information (PHI), payment card data (PCI), government identifiers, or other regulated sensitive data unless we have agreed in writing to a specific process for it;
  • records will be de-identified under the process we agree with you before any buyer receives them, and you will cooperate with that process and review outputs we ask you to confirm;
  • information you give us is accurate and complete; and
  • you keep your original records. Licensing a copy does not transfer ownership of your originals.

Data licensing agreements

These Terms do not themselves license any data. Each data license is made under a separate written agreement that you sign, which sets out the dataset, buyer category, scope, term, fees, revenue share, and de-identification and audit requirements. If that agreement conflicts with these Terms on licensing matters, the signed agreement controls. We may decline any dataset or buyer for legal, quality, or reputational reasons.

Affiliate program terms

  • Referral tracking. Referrals are attributed through your unique referral link or code and our records of the introduction. We decide attribution in good faith using our tracking data; the first valid attribution generally controls. Cookies and links may expire or fail, and we are not liable for untracked referrals.
  • Commissions. Commissions are paid according to the written commission schedule provided to you in the Portal or by agreement, and only on referred businesses that sign a data licensing agreement and for which we actually receive payment. Schedules may change prospectively on notice.
  • Payment. We pay by the method and on the timetable stated in your schedule. You must provide a valid Form W-9 (or equivalent) before payout and are responsible for your own taxes. We may withhold as required by law.
  • Conduct. No spam, deceptive or misleading claims, guarantees of earnings, impersonation of Data Partnerships, or unlawful solicitation. Do not promise prospects specific payouts. Comply with anti-spam, telemarketing, and advertising laws, and do not bid on our brand terms without permission.
  • Clawbacks. If a referred deal is cancelled, refunded, charged back, disputed, or found to be based on a violation of these Terms, we may reverse or offset the related commission against future payments or require repayment.
  • Independent contractor. You are not our employee, agent, or partner and cannot bind us.
  • Termination. Either party may end participation at any time. We may terminate immediately for breach or suspected fraud. Earned, undisputed commissions on deals that closed before termination remain payable, less any clawbacks.

Fees and payments

Consultations are free. Fees, revenue shares, and payment timing for licensing are set in your signed licensing agreement. Unless stated otherwise, amounts are in U.S. dollars and exclusive of taxes. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

Intellectual property

The Services, including our website, Portal, software, branding, and content, are owned by Data Partnerships or its licensors and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable right to use them for their intended purpose. You keep ownership of your data and records; you grant us a limited license to host, process, and de-identify them solely to provide the Services and carry out licensing you have authorised. If you send feedback, we may use it without obligation to you.

Acceptable use

You will not: break the law; upload malware or content you lack rights to; probe, scrape, or disrupt the Services; bypass access controls; attempt to re-identify de-identified data; misrepresent your identity or affiliation; or use the Services to harm others. We may remove content and suspend access for violations.

Third-party integrations and links

The Portal can connect to third-party services such as Google (Gmail, Calendar), Zoom, Fathom, and Fireflies. Connections are optional and governed by your permissions and those providers’ terms. We handle Google user data as described in our Privacy Policy. We are not responsible for third-party services, their availability, or their content.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DATA WILL BE LICENSED, OR ANY INCOME EARNED. NOTHING HERE IS LEGAL, TAX, OR FINANCIAL ADVICE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DATA PARTNERSHIPS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID TO YOU BY US UNDER THE RELEVANT AGREEMENT IN THE 12 MONTHS BEFORE THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some may not apply to you.

Indemnification

You will defend and indemnify Data Partnerships and its members, officers, employees, and agents against claims, losses, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of law or third-party rights, the records and information you provide (including any claim that you lacked the right to license them), or your referral conduct.

Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Subject to the arbitration clause below, the state and federal courts located in Broward County, Florida have exclusive jurisdiction, and you consent to personal jurisdiction there.

Dispute resolution, arbitration, and class waiver

Contact us first at legal@datapartnerships.com and try to resolve a dispute informally for 30 days. If unresolved, any dispute arising from these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Broward County, Florida, and judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive relief in court for intellectual-property or confidentiality violations, and may bring individual claims in small-claims court.

Class action waiver. To the extent permitted by law, you and Data Partnerships may bring claims only in an individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding. A signed licensing agreement may contain its own dispute terms, which control for that agreement.

Changes and termination

We may update these Terms by posting a new version with a revised date; continued use after the effective date means you accept it. Material changes will be notified by email or in the Portal. You may stop using the Services at any time; we may suspend or end access for breach or legal reasons. Sections that by nature should survive (including data representations, payment obligations, IP, disclaimers, liability, indemnity, and disputes) survive termination.

These Terms, together with the Privacy Policy and any signed agreement, are the entire agreement on their subject. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in a merger or sale.
